Debt Arrangement & Syndication through Banks
CVK adds value at every stage of the transaction life cyle such as initial assessment of the project, determination of the right capital structure, advisory on choice of lender, structuring of the term sheet, assisting the lenders in the appraisal process, expedition of post-sanction processes and advisory throughout the loan lifecycle.
Our team has extensive transactional experience in products such as term loans syndicated through multiple banking or consortium arrangements, fund based working capital, non fund based working capital, ECBs, promoter funding, corporate loans etc.
With continuous innovation in capital markets, businesses have access to various forms of debt provided by institutions other than Banks. CVK advises clients on alternative forms of debt such as NCDs, OCDs, mezzanine debt, hybrid debt etc. Such sources of debt are extensively used in sectors such as Real Estate, Hospitality, Education etc. wherein bank funding is constrained.
CVK leverages its network with NBFCs, Large Corporates, Private Equity Funds, Special Situation Funds etc. to structure deals so as to create a win-win situation for all the parties involved.
Distressed Debt Advisory - buy side as well as sell side
Businesses often need to consolidate debts, significantly change the size and scope of operations, and take other measures to tide over liquidity concerns, macroeconomic environment and unfavorable circumstances beyond control. In order to take advantage of a lower interest rate or in some cases to avoid default on existing debt, a business may want to re-structure its debt or avail of re-financing.
CVK advises businesses on matters such as Bilateral Restructuring, One-time-settlements, Re-financing, infusion of capital through ARCs, Special Situation Funds, NCLT IBC Advisory etc.
CVK also engages with funds and investors to assist on bids through the NCLT IBC route with complete hand holding throughout all stages of the transaction.
Private Equity, Mergers & Acquisitions
Given our deep involvement with our client base, we are intricately familiar with on-the-ground aspects of every business. Our network and relationships with private equity investors and business houses enables us to offer our clients a very personalized approach to raising equity capital or navigating a merger/acquisition process.
Inter alia, we advise across the entire transaction life cycle viz. identifying the right partner, valuation, negotiating term sheets, assisting through the due diligence process, negotiation on shareholders agreements/share subscription/purchase agreements, assisting in completion of regulatory formalities etc with the overarching objective of protecting interests of our clients and maximising value.
In order to encourage the dispersal of industries to lesser developed areas of the State, the Government of Maharashtra has been giving package of incentives to New Industrial Units and Expansion / Diversification Projects set up in the developing regions of the State since 1964 under a Scheme popularly known as the "Package Scheme of Incentives." The Package Scheme of Incentives, first introduced in 1964, has been amended from time to time, the last amendment having come in the year 2019. Graded incentives are made available to the industrial units depending on their location, size of capital investment (MSME / Medium / Large / Mega / Ultra Mega) and employment generated. CVK has been advising industrial units in framing project proposals under these schemes so as to gain optimum benefits from their capital investments. CVK has also been providing similar assistance to its clients with respect to the various schemes of the Central Government.
